1. Who this agreement is between
This agreement is between MetalMitra ("MetalMitra", "we", "us") and the person or business that buys a licence ("you", "the licensee"). By ticking "I agree" at checkout, or by installing or using the software, you accept this agreement. If you buy for a business, you confirm you are authorised to accept it on the business's behalf.
2. Your licence
After full payment, we grant you a non-exclusive, non-transferable licence to install and use the software named on your receipt (for example QuoteMitra / Metal Mitra or MTCMitra / MTCMITRA) for the internal business purposes of the licensee named on the receipt, on the number of computers stated on the receipt — one computer unless agreed otherwise. You may move it to a replacement computer. Each additional computer needs its own licence.
The software is licensed, not sold. MetalMitra keeps all rights, title and intellectual property in the software, its design and its documentation.
3. What "lifetime" means
"Lifetime licence" means you pay once and may keep using the version you received for as long as you like, with no subscription or renewal fee. It refers to the life of the software product, not the life of a person or company. Your download link gives you the latest version we publish for this product.
4. Licence keys and activation
Each licence comes with a personal licence key. The software is activated once online with that key, which links it to your computer (identified by an anonymous hash, no personal or hardware details). The software then checks the licence online from time to time and keeps working offline between checks. To move to another computer, deactivate it in the software or ask us to release the seat. Sharing or publishing a licence key is not allowed, and a key that is shared may be switched off.
5. What you may not do
- Share, resell, rent, sublicense or publish the software, the installer, your licence key or your download link.
- Install it on more computers than your licence allows.
- Copy, modify, decompile, reverse-engineer or remove notices from the software, except where the law expressly allows it.
- Use the software to break any law, including tax laws.
6. Delivery and updates
The software is delivered electronically: after payment you receive a receipt, your licence key and a personal download link by email (see our Delivery Policy). A link may be used a limited number of times and can be reset by us on request. We may publish updates and new versions; we are not obliged to add specific features.
7. Your data
The software stores your business data (quotations, certificates, clients, products, rates and settings) only on your computer. It has no telemetry and does not send your business data to us; the licence check sends only your licence key, the anonymous computer hash, the computer name and the app version. You are responsible for your own data and backups; the software makes automatic daily backups on your computer, and we recommend you also keep a copy on a pen drive or cloud folder.
The personal data you give us when buying (name, email, phone, billing details) is handled as described in our Privacy Policy.
8. Reference data, standards and certificates
HSN codes, GST rates, pipe weights, densities, standard grade limits and other reference data in the software are provided for convenience and can contain errors or become outdated. Confirm tax matters with your Chartered Accountant and check grade limits against the published specification. You are responsible for the prices, taxes and terms in the quotations you send and for the accuracy of every certificate you issue.
9. Optional AI features
Some features can use AI services (such as Google Gemini or Groq) with your own API key. They are optional and switched off unless you add a key. When used, only the text you ask the AI to read is sent to that provider, under that provider's terms. AI never sets prices, and you should review its suggestions before using them.
10. Support
We help you with installation and getting started by email and WhatsApp during working hours (Monday to Saturday, 10:00–19:00 IST). Support covers the software as delivered; it does not include changes to your computer, network, printer or other software.
11. Payment and refunds
Prices are shown in Indian rupees for buyers in India and in US dollars elsewhere; the amount and currency on your receipt apply. Refunds are handled under our Cancellation & Refund Policy. When a refund is made, the licence key is switched off and you must uninstall the software.
12. Warranty and liability
We will make reasonable efforts to keep the software working as described on our website for Windows 10 and 11 (64-bit). Apart from that, the software is provided "as is". To the extent allowed by law, we are not liable for indirect or consequential loss — such as lost profits, lost orders or lost data — and our total liability is limited to the amount you paid for the licence.
13. Termination
If you break this agreement — for example by sharing the installer, licence key or download link — we may end your licence and switch off your key and download link. Sections 7, 8, 12 and 14 continue after termination.
14. Governing law
This agreement is governed by the laws of India. Any dispute will first be discussed in good faith; if it cannot be resolved, the courts of India have jurisdiction. Questions about this agreement: hello@metalmitra.com.
